VENDOR REGISTRATION TERMS AND CONDITIONS
- Introduction
By registering as a Vendor on Kenyon International West Africa Company Limited’s (hereinafter referred to as the Company) Vendor Portal, you (the “Vendor”) agree to comply with and be bound by the following Terms and Conditions. These Terms and Conditions are applicable as of the date of your acceptance and govern your access to and use of the Vendor Portal.
- Registration and Approval
- The Vendor registration is subject to approval by the Company. Submission of the registration application does not guarantee acceptance.
- The Vendor shall provide accurate, complete, and up-to-date information as required during registration. Failure to maintain accurate information may result in suspension or termination of Vendor registration.
- Vendor Obligations
- The Vendor agrees to comply with all applicable laws, regulations, and company policies, including but not limited to labour laws, tax laws, safety regulations, and anti-bribery statutes.
- The Vendor agrees to provide goods/services in a manner that meets quality, safety, and legal standards and as specified in any individual purchase orders or contracts issued by the Company.
- The Vendor shall not engage in any activity that could harm the reputation or operations of Kenyon International West Africa Company Limited.
- Confidentiality
- The Vendor agrees to maintain the confidentiality of any proprietary information, trade secrets, or data disclosed by the Company during registration or throughout the course of the engagement.
- This obligation of confidentiality extends beyond the duration of the Vendor’s registration and applies to any information that is not publicly known.
- Intellectual Property
- Vendor shall not use the Company’s intellectual property (including logos, trademarks, and copyrighted material) without prior written consent.
- Vendor agrees that any intellectual property created specifically for Kenyon International West Africa Company Limited as part of the services provided will be owned by the Company except mutually agreed otherwise.
- Payment Terms
- Payment terms, including rates and schedules, will be determined on an individual basis in accordance with specific agreements or purchase orders.
- The Company will not be liable for any payments not covered in approved agreements or invoices.
- Compliance with Policies and Procedures
The Vendor must ensure that its employees, subcontractors, and agents comply with all relevant terms and company policies.
- Termination
- The Company reserves the right to terminate the Vendor’s registration at any time for any breach of these Terms and Conditions or any applicable laws.
- Upon termination, the Vendor must immediately cease all use of the Vendor Portal and return any Company property.
- Indemnification
Vendor agrees to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, damages, or liabilities resulting from Vendor’s actions, negligence, or failure to comply with these Terms and Conditions.
- Limitation of Liability
The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the Vendor’s registration, use of the Vendor Portal, or performance under these Terms and Conditions.
- Amendments to Terms
The Company reserves the right to update or modify these Terms and Conditions at any time. Vendors will be notified of any significant changes, and continued use of the Vendor Portal constitutes acceptance of updated Terms and Conditions.
- Governing Law and Dispute Resolution
Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of these Terms and Conditions shall be resolved through arbitration or as mutually agreed by the parties.
